Terms of Service

These Terms constitute a legally binding agreement between you and Ceerf LLC regarding your use of Permisoft as a buyer or customer. Your agreement arises when you click to accept these Terms, complete a purchase, create an account, or continue using the Service after we post revised Terms.

We may present additional terms at checkout, on product pages, or within license activation flows. Those supplemental terms apply only to the specific transaction or product they accompany and do not replace these Terms unless expressly stated.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

• You must read these Terms, our Privacy Policy, and our Refund Policy before purchasing or activating software.
• Your continued use of the Service after we update these Terms constitutes acceptance of the revised Terms, subject to applicable law.
• Certain statutory consumer rights may not be waivable; nothing in these Terms limits rights that cannot be limited under applicable law.

Permisoft is a digital marketplace operated by Ceerf LLC, doing business as Permisoft. Ceerf LLC provides the platform, infrastructure, payment facilitation, license key management, and related tools that connect independent software publishers with buyers.

Ceerf LLC is not the author, owner, or seller of the third-party software listed on Permisoft, except where we expressly identify ourselves as the publisher of a particular product. Software titles, descriptions, support obligations, and warranties are provided by the applicable publisher unless stated otherwise on the product page.

You must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction, to create an account and purchase software through Permisoft. If you are under the age required to form a binding contract where you live, you may use the Service only with involvement and consent of a parent or legal guardian who accepts these Terms on your behalf.

You agree to provide accurate, current, and complete registration information and to keep your account information updated. You may not register using a false identity, impersonate another person, or create multiple accounts to evade restrictions, abuse promotions, or circumvent enforcement actions.

We reserve the right to refuse registration, suspend accounts, or terminate access where we reasonably believe you do not meet eligibility requirements or have violated these Terms.

• You are responsible for ensuring that your purchase and use of software complies with laws applicable to you, including export control and sanctions rules.
• Corporate or institutional buyers must ensure their authorized users comply with these Terms and any volume or site license restrictions stated on the product page.
• We may require identity verification or additional information before completing high-risk transactions or restoring compromised accounts.

You are responsible for maintaining the confidentiality of your account credentials, including your password and any multi-factor authentication devices. You must promptly notify us at support@ceerf.com if you suspect unauthorized access to your account or misuse of your license keys.

You are responsible for all activity that occurs under your account unless you have notified us of unauthorized access and we have had a reasonable opportunity to act. We are not liable for losses arising from your failure to safeguard credentials or from compromise of an email account used for Permisoft login.

License keys, download links, and activation tokens are confidential assets tied to your purchase. You must not publish, resell, or broadly distribute keys except where the applicable license expressly permits transfer.

• Use a strong, unique password and enable multi-factor authentication when available.
• Do not share your account with others unless your license explicitly allows shared or multi-seat use.
• Log out of shared or public devices after accessing your library or license information.

Permisoft is an intermediary marketplace platform. Ceerf LLC facilitates discovery, purchase, delivery, and license administration for software published by third parties. Unless expressly stated for a specific product, Ceerf LLC does not develop, own, or sell the underlying software and is not a party to the end-user license agreement ("EULA") or similar license terms between you and the publisher.

When you purchase software, you acquire a license according to the publisher's stated license model and EULA. The publisher—not Ceerf LLC—is primarily responsible for software functionality, compatibility, updates, security patches, and technical support unless Permisoft expressly provides support for a given listing.

We may display publisher materials, version information, system requirements, and release notes supplied by publishers. While we review listings for policy compliance, we do not guarantee that every statement is complete or current. You should review the product page and publisher documentation before purchasing.

• Ceerf LLC facilitates payment collection and remittance to publishers subject to our Publisher Agreement.
• Disputes about software defects, feature requests, or publisher conduct should first be directed to the publisher; we may assist with platform-related issues such as missing keys or download access.
• References to "sale" on the Service describe a license grant or purchase of a license entitlement, not a transfer of ownership of the underlying software or intellectual property.

Unless a product page clearly states otherwise, software offered on Permisoft is sold as a perpetual, one-time purchase license. This means you pay a single price at checkout for the license tier described on the product page and are not required to maintain a recurring subscription through Permisoft to retain a license you have already purchased and activated, subject to the publisher's EULA.

Permisoft does not offer subscription billing for publisher software through the store at this time. If a publisher separately offers optional paid support, maintenance, or cloud services outside Permisoft, those arrangements are between you and the publisher and are not governed by these Terms unless expressly incorporated on the product page.

License scope—including seat count, device limits, commercial versus personal use, and upgrade eligibility—is defined on the product page and in the publisher EULA. You must purchase the correct edition for your intended use.

• One-time purchase does not necessarily include future major-version upgrades unless the listing states that upgrades are included.
• Some licenses may include a defined support or update window described on the product page; after that window, the license may remain valid for the purchased version without further updates.
• Trial, beta, or pre-release licenses may be offered with additional restrictions noted at download or activation.

After a qualifying purchase, Permisoft may issue a license key, activation code, or cryptographic entitlement used to unlock or register the software. Activation mechanisms may collect non-invasive device identifiers, installation fingerprints, or hashed hardware signals solely to enforce seat limits, prevent fraud, and protect publishers, as described in our Privacy Policy and Data Handling Policy.

Many licenses are bound to a specific number of devices or installations. Attempting to exceed stated activation limits, bypass technical protection measures, or use automated tools to reset activations without authorization violates these Terms and may result in key revocation.

If you replace hardware or reinstall your operating system, publishers or Permisoft may provide a reasonable deactivation or transfer process where supported by the product. Abuse of transfer mechanisms may lead to suspension.

• Keep a secure record of your license keys; treat them like passwords.
• Do not purchase keys from unauthorized resellers or key marketplaces; keys obtained outside Permisoft may be invalid or revoked.
• Activation data is processed to verify legitimate use, not to sell your personal information.

Permisoft hosts or links to publisher-provided installers, binaries, checksums, and release notes for your purchased products. Download access is generally provided through your account library and may be time-limited or rate-limited to prevent abuse.

You are responsible for verifying system requirements, performing backups, and scanning downloads according to your security policies. While we use commercially reasonable controls for hosted files, you install software at your own risk and should verify publisher signatures or hashes when provided.

We may remove or replace download artifacts when a publisher issues a security update, when required by law, or when a file violates our policies. We will endeavor to provide reasonable notice when materially affecting access to software you have purchased.

• Internet connectivity and adequate storage are required to complete downloads.
• Redownload rights may be subject to account standing and publisher availability.
• Documentation and auxiliary materials are provided as-is by the publisher unless otherwise stated.

You agree to use Permisoft only for lawful purposes and in accordance with these Terms, applicable publisher licenses, and all applicable local, state, national, and international laws and regulations.

You may browse listings, purchase licenses for personal or authorized business use, download installers you are entitled to receive, activate software within license limits, and contact support for legitimate platform or purchase issues.

You must respect the intellectual property rights of Ceerf LLC, publishers, and third parties. Any use of Permisoft branding, APIs, or content outside permitted scope requires our prior written consent.

• Use purchased software only within the scope of the applicable EULA.
• Provide accurate information in checkout, tax forms, and support requests.
• Cooperate with reasonable fraud-prevention and security inquiries.

You may not misuse the Service or assist others in doing so. Prohibited conduct includes activities that harm Ceerf LLC, publishers, other users, or the integrity of the marketplace.

We may investigate suspected violations and cooperate with law enforcement. Violations may result in suspension, termination, license key revocation, chargeback defense, and legal action.

• Circumventing license enforcement, digital rights management, activation limits, or access controls.
• Uploading malware, engaging in denial-of-service attacks, or attempting unauthorized access to systems or data.
• Scraping, crawling, or harvesting marketplace data at scale without written permission.
• Posting false reviews, manipulating ratings, or misrepresenting product ownership.
• Using stolen payment instruments or engaging in fraudulent refund or chargeback schemes.
• Reselling, sublicensing, or publicly distributing license keys except where expressly permitted.
• Reverse engineering the Permisoft platform to replicate its functionality or extract publisher assets.
• Harassing support staff, publishers, or other users.

The Service, including its design, logos, trademarks, software, documentation, and content created by Ceerf LLC, is owned by Ceerf LLC or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

Publisher software, names, logos, and related materials remain the property of the respective publishers. Your purchase grants only the license rights described on the product page and in the publisher EULA.

If you believe content on Permisoft infringes your copyright, submit a notice to support@ceerf.com with the information required by applicable law.

• You may not remove proprietary notices from installers or documentation.
• Feedback you provide may be used by us without restriction or compensation, except where prohibited by law.
• Third-party open-source components included in our platform are subject to their respective licenses.

Software available on Permisoft is provided by third-party publishers. Ceerf LLC does not warrant that any publisher software will meet your requirements, operate without interruption, be error-free, secure, or compatible with your hardware, operating system, or other applications.

Publishers are responsible for their product descriptions, EULAs, privacy practices relating to software behavior, and compliance with laws governing their products. Your use of publisher software is at your own risk and subject to the publisher's terms.

Any support, maintenance, or warranty services are offered solely by the publisher unless Permisoft explicitly states otherwise for a given product. We may facilitate communication but are not obligated to resolve publisher-side technical defects.

• Read the EULA before installing software.
• Verify system requirements and dependency notes on the product page.
• Back up data before installing new software.
• Security vulnerabilities should be reported to the publisher; we may help remove compromised builds from distribution when notified.

Prices displayed on Permisoft are set by publishers unless otherwise noted. We may show prices inclusive or exclusive of applicable taxes depending on your location and checkout presentation. You are responsible for any applicable sales, use, VAT, GST, or similar taxes unless we are legally required to collect and remit them.

Payments are processed by Stripe, Inc. and its affiliates ("Stripe") or other designated payment processors. By purchasing, you authorize us and Stripe to charge your selected payment method for the total amount shown at checkout, including applicable taxes and fees disclosed to you.

We may decline or cancel orders to address fraud risk, pricing errors, sanctions concerns, or policy violations. If a pricing error occurs, we will notify you and offer the option to proceed at the correct price or cancel for a full refund of amounts charged.

Platform economics: Ceerf LLC charges publishers a platform fee of 5% of gross sale proceeds for use of Permisoft. This fee is not added to your checkout total as a separate buyer surcharge unless expressly displayed; it is deducted from amounts remitted to publishers.

• Currency conversion or foreign transaction fees may be assessed by your card issuer.
• Promotional discounts may be subject to eligibility rules and expiration dates.
• Receipts and transaction records are available through your account and via email confirmations.

We strive to keep Permisoft available and reliable, but we do not guarantee uninterrupted, timely, secure, or error-free operation. The Service may be unavailable due to maintenance, upgrades, outages, force majeure events, or factors outside our reasonable control.

We may modify, suspend, or discontinue any aspect of the Service, including features, listings, or supported payment methods, with or without notice, provided that we will not materially deprive you of license keys or download access you have already lawfully obtained except as required for security, legal compliance, or enforcement of these Terms.

Beta or experimental features may be offered with additional limitations and may be withdrawn at any time.

• Scheduled maintenance will be announced when practicable.
• We are not responsible for internet or device failures on your side.
• Archived product versions may become unavailable if a publisher removes them.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. Ceerf LLC DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will meet your expectations, that data will be preserved without loss, or that we will detect or prevent all fraudulent or harmful activity.

Some jurisdictions do not allow exclusion of certain warranties; in those jurisdictions, our disclaimers apply only to the fullest extent permitted by law.

• Publisher software warranties, if any, are provided by the publisher.
• Verbal or informal statements by support staff do not create warranties unless confirmed in writing by an authorized officer of ${LEGAL_ENTITY}.
• You assume responsibility for evaluating whether a product suits your needs before purchase.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL Ceerf LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR PURCHASED SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO Ceerf LLC FOR THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

These limitations apply to all theories of liability, whether based in contract, tort, strict liability, statute, or otherwise. Multiple claims do not enlarge the cap.

• We are not liable for publisher software malfunctions, data loss caused by publisher software, or publisher failure to provide updates.
• Liability limits do not apply where prohibited by law, including certain consumer protection statutes.
• You may have additional rights under mandatory local law that cannot be waived by contract.

You agree to defend, indemnify, and hold harmless Ceerf LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your misuse of the Service; (b) your violation of these Terms or applicable law; (c) your violation of a publisher EULA; (d) content or information you submit; or (e) your infringement or misappropriation of third-party rights.

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense. You may not settle any matter without our prior written consent.

Before initiating formal proceedings, you agree to contact us at support@ceerf.com or support@ceerf.com and attempt in good faith to resolve the dispute informally within thirty (30) days.

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-law principles, except where mandatory consumer protection laws of your country of residence provide otherwise.

Except where prohibited by applicable law, you agree that the state and federal courts located in Delaware shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service that are not subject to arbitration or small-claims procedures permitted by law.

We may update these Terms from time to time. Material changes will be posted on the Service with an updated "Last updated" date. If you do not agree to revised Terms, you must stop using the Service and may request account closure.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce a provision is not a waiver of our right to do so later.

• Nothing in this section limits non-waivable rights to bring claims in courts of your home jurisdiction where required by consumer law.
