Publisher Agreement
Terms for Listing and Selling Software on Permisoft

This Publisher Agreement ("Agreement") is a legally binding contract between Ceerf LLC, a Delaware limited liability company doing business as Permisoft ("Ceerf LLC," "Permisoft," "we," "us," or "our"), and the individual or entity registering as a publisher ("Publisher," "you," or "your"). By creating a publisher account, submitting a product listing, uploading software artifacts, connecting a Stripe payout account, or selling licenses through Permisoft, you agree to this Agreement, our marketplace policies, the Publisher Limitation of Liability and Risk Allocation document, and applicable buyer-facing policies incorporated by reference. If you do not agree, do not use publisher services.
1. Parties, Acceptance, and Authority
This Agreement governs Publisher's use of publisher tools, APIs, dashboards, webhooks, hosting infrastructure, license key management, and related services (collectively, "Publisher Services") offered through Permisoft.
If you accept on behalf of a company, you represent that you have authority to bind that entity, and "Publisher" refers to that entity. You must provide accurate legal name, tax, and contact information during onboarding.
We may require identity verification, business documentation, or additional agreements for high-risk categories, enterprise publishers, or jurisdictions with specific regulatory requirements.
2. Marketplace Relationship
Ceerf LLC operates Permisoft as a marketplace platform connecting Publishers with buyers. Ceerf LLC is not the seller of record for Publisher software except where expressly identified otherwise for a specific product.
Publisher is the licensor of its software to end users. The end-user license agreement ("EULA") or license terms presented to buyers are primarily between Publisher and buyers, provided that Publisher's terms may not conflict with mandatory buyer protections, this Agreement, or Permisoft policies.
Publisher appoints Ceerf LLC as a limited agent to facilitate listing, marketing display, payment collection, delivery of installers hosted on Permisoft, issuance of license keys managed by Permisoft, and related administrative tasks solely for marketplace operations.
- Publisher remains responsible for software quality, support commitments stated on listings, and regulatory compliance.
- Ceerf LLC may display Publisher trademarks and marketing assets solely to promote listings on the marketplace.
- Buyer personal data is handled according to our Privacy Policy and Data Handling Policy; Publishers must not misuse buyer data obtained through support flows.
3. Perpetual One-Time Purchase License Model
All software sold on Permisoft must be offered as perpetual, one-time purchase licenses unless we approve a different model in writing for a specific experimental program. Publisher may not require buyers to maintain recurring subscription payments through Permisoft to retain licenses already sold as perpetual.
Publisher may describe optional paid services outside Permisoft—such as cloud hosting or premium support—but may not route mandatory subscription billing for core software licenses through the store in violation of this section.
License scope, seat counts, upgrade policies, and commercial use rights must be clearly disclosed on the product page and in the EULA.
- One-time purchase may exclude future major-version upgrades unless expressly included.
- Free updates within a version family should be described accurately.
- Trial or freemium companion products must be labeled distinctly from paid perpetual licenses.
4. Platform Fee, Payment Processing, and Economics
Publisher agrees to pay Ceerf LLC a platform fee equal to 5% of gross sale proceeds for each completed transaction on Permisoft ("Platform Fee"). Gross sale proceeds means the amount charged to the buyer for the software license before deduction of the Platform Fee, Stripe payment processing fees, refunds, chargebacks, or taxes collected and remitted by Ceerf LLC where applicable.
Ceerf LLC pays Stripe payment processing fees from its Platform Fee. Publisher receives net payouts equal to gross sale proceeds minus the Platform Fee, minus refunds and chargebacks, minus any other adjustments expressly permitted under this Agreement.
Example: if a buyer pays $100 and no refund occurs, gross sale proceeds are $100. The Platform Fee is $5 (5% of $100). Ceerf LLC retains the Platform Fee and pays Stripe processing costs from that fee. Publisher's net payout before tax adjustments is $95.
We may offer promotional fee reductions in writing. Published fee schedules control unless a separate signed amendment states otherwise.
- Currency conversion and cross-border payout fees may affect net amounts as determined by Stripe.
- Taxes collected from buyers on behalf of authorities are not Publisher revenue.
- Chargebacks and refunded transactions reverse associated payouts.
5. Hosting, Installers, and License Key Management
Publisher grants Ceerf LLC a non-exclusive license to host, reproduce, and distribute Publisher-provided installers, binaries, checksums, release notes, and related artifacts solely through Permisoft for fulfillment to paying buyers.
Ceerf LLC manages generation, storage, delivery, and revocation of license keys according to marketplace systems and Publisher-configured seat rules. Publisher is responsible for configuring accurate activation limits and for providing secure build artifacts.
Publisher must promptly upload security patches and critical updates. Ceerf LLC may remove outdated builds that pose security risks.
- Artifacts must be free of malware, unauthorized bundling, and hidden miners.
- Publisher must supply accurate version numbers and changelogs.
- Large file uploads must comply with documented size and format requirements.
6. Intellectual Property Ownership
Publisher retains all right, title, and interest in and to its software, trademarks, documentation, and marketing materials, subject to licenses granted herein. Ceerf LLC owns the marketplace platform, branding, and platform software.
Publisher represents that it has all rights necessary to list and sell the software on Permisoft and to grant the licenses described on product pages.
If Publisher uses open-source components, Publisher must comply with applicable licenses and provide required notices to buyers.
7. Listing Accuracy and Legal Compliance
Publisher is solely responsible for the accuracy of product titles, descriptions, screenshots, system requirements, feature lists, support commitments, privacy disclosures relating to software behavior, and EULAs.
Publisher must comply with all applicable laws, including consumer protection, advertising truthfulness, export controls, sanctions, accessibility where required, and data protection laws governing Publisher's own processing in the software.
Publisher must not misrepresent affiliation with Ceerf LLC, other companies, or open-source projects.
- Disclose DRM, activation requirements, and internet dependencies.
- Disclose data collection performed by the software outside ${MARKETPLACE_NAME} systems.
- Maintain current contact information for buyer support escalations when Publisher support is offered.
8. Content Review, Moderation, and Removal
Ceerf LLC may review listings and artifacts before or after publication. We may reject, suspend, or remove listings that violate this Agreement, buyer policies, intellectual property complaints, or applicable law.
We may feature or demote listings algorithmically or editorially. Placement is not guaranteed.
If a product is removed, we will handle buyer entitlements and refunds according to buyer policies and this Agreement, which may include refunds for recent purchasers when removal is due to Publisher policy violations or security issues attributable to Publisher.
9. Prohibited Software and Conduct
Publisher may not list or distribute software or related materials that harm users, violate law, or undermine marketplace integrity.
- Malware, ransomware, spyware, or intentionally deceptive installers.
- Cryptocurrency miners, botnet tooling, or unauthorized remote access trojans.
- Products primarily designed to circumvent security, licensing, or privacy protections unlawfully.
- Content that infringes third-party intellectual property or trade secrets.
- Gambling, adult, or regulated products without prior written approval and compliance programs.
- Fake utilities, scamware, or products that misrepresent system alerts.
- Attempts to exfiltrate buyer data without lawful basis and clear disclosure.
10. Payouts via Stripe Connect
Publisher must onboard to Stripe Connect or another payout mechanism we designate and maintain accurate banking and tax information. Payouts are subject to Stripe verification, reserve policies, and compliance reviews.
Payout timing may follow rolling schedules, minimum thresholds, and hold periods for fraud prevention. We may delay payouts when chargeback risk is elevated or when investigations are ongoing.
Publisher is responsible for Stripe account standing. Suspension of Stripe connectivity may pause sales and payouts.
- Provide W-9, W-8, VAT, or other tax forms as requested.
- Notify us of legal entity changes that affect payout eligibility.
- Stripe fees are paid by ${LEGAL_ENTITY} from the Platform Fee as described in Section 4.
11. Tax Obligations
Publisher is responsible for income taxes, business taxes, and other fiscal obligations arising from amounts paid to Publisher, except where Ceerf LLC is legally required to withhold taxes.
Ceerf LLC may collect and remit sales, VAT, or GST from buyers where required by law. Publisher must cooperate with tax information requests and may need to register in jurisdictions as required by applicable marketplace tax laws.
Publisher should consult tax advisors regarding cross-border digital sales.
12. Updates, Release Notes, and Support Obligations
Publisher must publish accurate release notes when shipping updates through Permisoft and must not push updates that materially reduce disclosed functionality without notice and lawful treatment of existing buyers.
If Publisher commits to a support window on the product page, Publisher must staff reasonable support channels or clearly disclose limitations.
Critical security vulnerabilities must be remediated with priority; failure to do so may result in delisting.
13. API, Webhooks, and Developer Tools
Publisher may access APIs and webhooks we make available for inventory, sales reporting, and license events. Use must comply with documentation, rate limits, and security requirements.
API keys are confidential. Publisher must not share keys publicly or embed them in client-side software.
We may modify APIs with reasonable notice where practicable. Emergency security changes may be immediate.
- Webhook endpoints must use HTTPS and validate signatures where provided.
- Excessive polling or abusive traffic may be throttled or suspended.
- Derived data from APIs is for Publisher operations, not for resale of buyer personal data.
14. Confidentiality
Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and use it only for marketplace purposes.
Confidential information does not include information that is public without breach, independently developed, or rightfully received from third parties without duty of confidentiality.
Aggregated marketplace statistics provided to Publisher about its own sales are not Ceerf LLC confidential information unless marked otherwise.
15. Term, Termination, and Suspension
This Agreement begins upon Publisher acceptance and continues until terminated. Either party may terminate for convenience with thirty (30) days' written notice, except that Ceerf LLC may suspend or terminate immediately for material breach, fraud, security threats, or legal requirements.
Upon termination, Publisher listings may be removed, payouts for completed sales will be processed subject to holds and chargeback windows, and license records will be retained as needed for buyer support and legal compliance.
Sections that by nature should survive— including payment obligations, indemnities, limitation of liability references, confidentiality, and dispute resolution—survive termination.
- Buyers who purchased before termination generally retain perpetual licenses according to EULAs.
- Publisher must not sabotage activations or updates during wind-down.
- Outstanding investigations may delay final payout.
16. Limitation of Liability Waiver
Publisher acknowledges that storing software artifacts and license records with Permisoft involves inherent risks, including potential security incidents, downtime, and data loss despite commercially reasonable safeguards.
The separate Publisher Limitation of Liability and Risk Allocation document ("Liability Waiver") is incorporated by reference. By using Publisher Services, Publisher agrees to the Liability Waiver's risk allocation, liability cap, and indemnification terms.
In case of conflict between this Agreement and the Liability Waiver regarding risk allocation and caps, the Liability Waiver controls for those topics.
17. Indemnification, Governing Law, Changes, and Contact
Publisher will defend, indemnify, and hold harmless Ceerf LLC and its affiliates, officers, directors, employees, and agents from claims arising out of Publisher software, listings, EULAs, regulatory violations, intellectual property infringement, privacy practices within Publisher software, and breach of this Agreement.
This Agreement is governed by the laws of the State of Delaware, excluding conflict-of-law rules, except where mandatory laws of Publisher's formation jurisdiction provide otherwise for non-waivable rights.
We may update this Agreement by posting a revised version with a new "Last updated" date and incrementing publisher legal version metadata. Material changes may require renewed acceptance. Continued use after the effective date constitutes acceptance where permitted by law.

- Publisher fee changes will be communicated in advance except for promotional reversions.
- Disputes should first be escalated through publisher support channels in good faith.
- Nothing here limits non-waivable consumer rights of buyers, which remain governed by buyer policies.
