Publisher Limitation of Liability and Risk Allocation
Risk Acknowledgment for Publishers Using Permisoft Infrastructure

This Publisher Limitation of Liability and Risk Allocation document ("Liability Waiver") is incorporated into the Permisoft Publisher Agreement between Ceerf LLC, doing business as Permisoft ("Ceerf LLC," "we," "us," or "our"), and each software publisher ("Publisher," "you," or "your") that stores software artifacts, license records, or related materials on our platform. By uploading installers, configuring license keys, or otherwise using Publisher Services, you acknowledge that hosting digital goods and entitlement data involves material risks and agree to the allocations below. This document is not legal advice; Publisher should consult qualified counsel regarding its specific circumstances.
1. Purpose and Voluntary Acknowledgment
Publishers choose to distribute software through Permisoft because of its marketplace reach, payment tooling, license administration, and hosted delivery. Those benefits require storing Publisher artifacts and transactional records on systems operated by Ceerf LLC and its subprocessors.
This Liability Waiver clarifies the limits of Ceerf LLC's responsibilities and the risks Publisher assumes when using those systems. It is a material part of the commercial bargain alongside the 5% platform fee structure described in the Publisher Agreement.
You acknowledge that you have read this Liability Waiver, understand its significance, and accept its terms as a condition of using Publisher Services.
2. Storage of Artifacts and License Records
Publisher may upload installers, binaries, metadata, release notes, cryptographic signatures, and configuration for license enforcement. Ceerf LLC stores associated license keys, activation logs, sales records, and webhook delivery history as needed to operate the marketplace.
Publisher retains ownership of its software and grants Ceerf LLC the limited distribution rights described in the Publisher Agreement. Ceerf LLC does not acquire ownership of Publisher intellectual property by hosting files.
Publisher is responsible for maintaining local backups of source code and build artifacts. Hosting on Permisoft is not a substitute for Publisher's own disaster recovery program.
- Artifact integrity depends on Publisher supplying correct builds and checksums.
- License records may be replicated across regions for resilience.
- Publisher must not upload unlawful or harmful content as described in the Publisher Agreement.
3. Commercially Reasonable Security Measures
Ceerf LLC implements administrative, technical, and organizational safeguards designed to protect stored artifacts and records, including access controls, encryption in transit, monitoring, vulnerability management, and vendor reviews for subprocessors such as Google Cloud Platform and Stripe.
We train personnel with access to production systems on security practices and limit access on a least-privilege basis. We maintain incident response procedures intended to detect, contain, and remediate security events.
"Commercially reasonable" does not mean perfect or impenetrable security. It means measures consistent with prudent marketplace operators of similar size and scope, subject to evolving threat landscapes and resource constraints.
4. No Guarantee Against Breach, Theft, or Unauthorized Access
PUBLISHER ACKNOWLEDGES THAT Ceerf LLC DOES NOT AND CANNOT GUARANTEE THAT ARTIFACTS, LICENSE KEYS, SALES DATA, OR RELATED RECORDS WILL BE IMMUNE FROM SECURITY BREACHES, THEFT, UNAUTHORIZED ACCESS, MALWARE INJECTION, INSIDER MISCONDUCT, MISCONFIGURATION, ZERO-DAY EXPLOITS, OR ADVANCED PERSISTENT THREATS.
No marketplace platform can promise absolute protection. Publisher accepts that residual risk remains even when Ceerf LLC exercises commercially reasonable care.
Publisher must promptly report suspected security issues related to Permisoft systems to support@ceerf.com and cooperate with remediation efforts.
- Phishing attacks targeting Publisher credentials remain a shared risk.
- Compromise of Publisher CI/CD pipelines outside ${MARKETPLACE_NAME} may affect artifact integrity.
- Distributed denial-of-service attacks may temporarily impair availability.
5. Downtime, Service Interruptions, and Data Loss
Ceerf LLC does not guarantee uninterrupted availability of Publisher dashboards, upload pipelines, APIs, webhooks, download endpoints, or payout systems. Outages may occur due to maintenance, software defects, infrastructure failures, third-party provider incidents, or force majeure events.
While we maintain backups and replication strategies, data loss or corruption may occur in rare circumstances. Ceerf LLC will use commercially reasonable efforts to restore service and data from backups when feasible but does not warrant full recovery.
Publisher should design workflows that tolerate temporary unavailability of non-critical APIs and should verify successful uploads and releases through dashboard confirmations.
6. Publisher Assumes Risk for Its Software
Publisher is solely responsible for the functionality, safety, legality, and support of its software. Ceerf LLC does not warrant that Publisher software is free from defects, vulnerabilities, or compatibility issues.
Claims by buyers or third parties relating to Publisher software—including personal injury, data loss caused by Publisher code, regulatory noncompliance, or deceptive marketing—are primarily Publisher's responsibility, subject to indemnification in Section 9.
Publisher assumes the risk that buyers may misuse software, that operating environments vary widely, and that security researchers may disclose vulnerabilities requiring Publisher patches.
7. Cap on Permisoft Liability to Publisher
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF Ceerf LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO PUBLISHER SERVICES, STORED ARTIFACTS, LICENSE RECORDS, OR THIS LIABILITY WAIVER SHALL NOT EXCEED THE GREATER OF (A) THE PLATFORM FEES ACTUALLY PAID BY PUBLISHER TO Ceerf LLC DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
For clarity, platform fees mean Ceerf LLC's 5% share of gross sales, not gross transaction volume. If Publisher has paid no platform fees in the prior twelve months, the cap may be US$100 where permitted.
Multiple claims or claimants do not enlarge this cap. The cap applies collectively to all causes of action.
- The cap applies per Publisher entity, not per product listing.
- Caps may not apply where prohibited by mandatory law.
- This cap is distinct from buyer-facing liability limits in consumer Terms of Service.
8. Exclusion of Consequential and Indirect Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Ceerf LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS INTERRUPTION, LOST OPPORTUNITIES, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO PUBLISHER SERVICES OR THIS LIABILITY WAIVER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Publisher acknowledges that Ceerf LLC's 5% platform fee reflects this limited liability structure and that Publisher would not receive the same pricing or access without these limitations where enforceable.
Some jurisdictions do not allow certain exclusions; in those jurisdictions, exclusions apply only to the fullest extent permitted.
9. Publisher Indemnification of Ceerf LLC and Permisoft
Publisher will defend, indemnify, and hold harmless Ceerf LLC, its affiliates, officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Publisher software or artifacts; (b) product listings, EULAs, or marketing materials; (c) alleged or actual intellectual property infringement or misappropriation; (d) privacy or data protection violations caused by Publisher software or Publisher's handling of buyer data outside Permisoft policies; (e) regulatory violations; (f) personal injury or property damage attributable to Publisher software; or (g) Publisher's breach of the Publisher Agreement or this Liability Waiver.
Ceerf LLC may assume control of the defense of any indemnified matter, and Publisher will cooperate. Publisher may not settle any claim that imposes obligations on Ceerf LLC without prior written consent.
- Indemnification includes claims by buyers, competitors, regulators, and intellectual property owners.
- Publisher remains responsible for publisher-side legal compliance in all territories where software is sold.
- Insurance, if maintained by Publisher, does not reduce indemnity obligations here.
10. Force Majeure
Ceerf LLC is not liable for delays or failures resulting from events beyond reasonable control, including natural disasters, war, terrorism, labor disputes, internet backbone failures, power outages, governmental actions, epidemics, or failures of third-party hosting or payment providers, provided reasonable mitigation efforts are undertaken.
Publisher must likewise use reasonable efforts to mitigate harm to buyers and to Permisoft operations during force majeure events affecting Publisher's build or support capabilities.
11. Survival
Sections concerning risk acknowledgment, limitation of liability, exclusion of damages, indemnification, governing law, and survival survive termination or expiration of the Publisher Agreement for any reason.
Termination does not retroactively eliminate obligations relating to events occurring during the term.
12. Publisher Understanding and Acceptance
Publisher represents that it has had the opportunity to review this Liability Waiver with legal counsel and either done so or knowingly waived that opportunity.
Publisher agrees that storing artifacts and license records with Permisoft is a voluntary business decision and that alternative distribution channels may involve different risk and cost profiles.
Electronic acceptance, continued use of Publisher Services, or uploading artifacts after notice of updates constitutes reaffirmation of this Liability Waiver where permitted by law.
- Material updates will be reflected in publisher legal version metadata.
- Continued sales after an update constitutes acceptance when lawful.
- If Publisher does not agree to an update, Publisher must cease using Publisher Services and remove listings.
13. Not Legal Advice
This Liability Waiver is provided for contractual clarity between business parties. It is not legal advice to Publisher or any third party.
Ceerf LLC does not represent that this document satisfies all regulatory requirements in every jurisdiction. Publisher is responsible for obtaining advice regarding export controls, consumer law, tax, privacy, and sector-specific obligations.
14. Governing Law and Contact
This Liability Waiver is governed by the laws of the State of Delaware, excluding conflict-of-law principles, except where mandatory non-waivable laws provide otherwise.
Disputes relating to this Liability Waiver are subject to the dispute resolution and jurisdiction provisions of the Publisher Agreement.
